These Terms of Service ("Terms") govern your access to and use of the AldusCare website and services (the "Services"), operated by CMSeniorcare LLC ("AldusCare," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. The Services

AldusCare provides an operations platform for home care agencies that helps coordinate caregiver shift coverage, after-hours response, and scheduling, including through automated calls and text messages. We may modify, suspend, or discontinue any part of the Services at any time. AldusCare supports agency operations and does not provide medical advice or direct care services.

3. Acceptable use

You agree not to misuse the Services. You will not:

• Use the Services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to send unlawful, harassing, or unsolicited messages.

4. Text messaging

The Services include text (SMS) messaging for operational purposes such as caregiver coverage and scheduling. By providing a mobile number and opting in, you consent to receive these messages. Message frequency varies, and message and data rates may apply. You may reply STOP at any time to opt out, or HELP for assistance. Our handling of mobile information is described in our Privacy Policy.

5. Intellectual property

The Services, including all software, content, and trademarks, are owned by CMSeniorcare LLC or its licensors and are protected by applicable law. These Terms do not grant you any right to use our name, logos, or branding without prior written permission.

6. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

7. Limitation of liability

To the maximum extent permitted by law, CMSeniorcare LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services.

8. Indemnification

You agree to indemnify and hold harmless CMSeniorcare LLC from any claims, losses, or expenses arising out of your use of the Services or your violation of these Terms.

9. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
